End User Licence Agreement

This agreement governs your use of Autom8Labs software products, services, and subscriptions. Please read carefully before using our products.

Agreement Overview

This End User Licence Agreement ("Agreement" or "EULA") is a legal agreement between you ("User", "you", or "your") and Autom8Labs ("Company", "we", "us", or "our") governing your use of our software products, website services, training materials, and related services.

Important: By downloading, installing, accessing, or using any Autom8Labs software or services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use our products or services.

Scope of Agreement

This Agreement applies to:

  • Software Products: Desktop applications, Revit add-ins, plugins, and automation tools developed by Autom8Labs
  • Website Services: Access to autom8labs.io, training portals, and online resources
  • Training Materials: Courses, documentation, tutorials, and educational content
  • Custom Software: Bespoke solutions developed under separate statements of work (additional terms may apply)

Licence Grant

Subject to the terms of this Agreement and payment of applicable fees, Autom8Labs grants you a:

  • Non-exclusive licence to use the software
  • Non-transferable licence that cannot be assigned to third parties
  • Revocable licence that may be terminated under the conditions outlined herein
  • Limited licence for the specific purposes described in the product documentation

Installation Rights

Unless otherwise specified in your subscription or licence tier:

  • You may install the software on the number of devices specified in your licence
  • Single-user licences permit installation on one primary workstation plus one portable device (e.g., laptop) for the same user
  • Multi-user or team licences are governed by the specific terms of your subscription agreement
  • Trial versions are limited to evaluation purposes for the specified trial period

Permitted Use

You may use Autom8Labs software and services for:

  • Personal or internal business purposes within your organisation
  • Creating, processing, and managing your own projects and data
  • Integration with other software as documented and intended
  • Training and educational purposes within the scope of your licence

Restrictions

You agree NOT to:

  • Reverse Engineer: Decompile, disassemble, reverse engineer, or attempt to derive the source code of any software
  • Modify: Alter, adapt, translate, or create derivative works based on the software without written permission
  • Circumvent Security: Bypass, disable, or interfere with any security features, licence validation, or copy protection mechanisms
  • Share Credentials: Share activation keys, licence credentials, login details, or access tokens with third parties
  • Redistribute: Copy, distribute, sublicence, rent, lease, or lend the software to others
  • Compete: Use the software or any derived knowledge to develop competing products or services
  • Remove Notices: Remove, alter, or obscure any proprietary notices, labels, or marks
  • Illegal Use: Use the software for any unlawful purpose or in violation of any applicable laws

Warning: Violation of these restrictions may result in immediate termination of your licence without refund and may expose you to legal liability.

Intellectual Property

All intellectual property rights in the software, services, and related materials are owned by Autom8Labs or its licensors. This includes but is not limited to:

  • Source code, object code, and software architecture
  • User interface designs, graphics, and visual elements
  • Documentation, training materials, and educational content
  • Trademarks, logos, and brand elements
  • Trade secrets, algorithms, and proprietary methods

This Agreement does not grant you any ownership rights in the software. You are granted only the limited licence rights expressly stated herein.

Your Content

You retain all rights to your own data, projects, and content created using our software. We do not claim ownership of your work product. However, you grant us a limited licence to process your data as necessary to provide our services.

Data Collection and Privacy

Our software may collect certain technical data to provide and improve our services. This includes:

  • Technical Data: Machine identifiers, operating system version, software version, hardware specifications
  • Usage Metrics: Feature usage statistics, performance data, error reports
  • Licence Data: Activation status, licence validation information

What We Do NOT Collect

  • Project data, models, or design files
  • Sensitive business information or client data
  • Personal files or documents unrelated to the software

Telemetry

Some products include optional telemetry features that can be disabled in the software settings. Where telemetry is enabled, data is collected and processed under your consent and our legitimate interests to improve our products.

Subscription and Payment

Subscription Terms

For subscription-based products:

  • Subscriptions are billed in advance on a monthly or annual basis as selected at purchase
  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial billing periods or unused time

Price Changes

We reserve the right to modify pricing for subscriptions. You will be notified at least 30 days before any price increase takes effect. Continued use after a price change constitutes acceptance of the new pricing.

One-Time Purchases

For perpetual licences or one-time purchases:

  • Payment is due in full at the time of purchase
  • Licences are valid for the version purchased; major updates may require separate purchase
  • Support and maintenance terms are specified in the product documentation

Warranty Disclaimer

IMPORTANT: Please read this section carefully as it limits our liability to you.

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS

We do not warrant that:

  • The software will meet your specific requirements
  • The software will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the software will be accurate or reliable
  • Any errors in the software will be corrected

Any reliance on the software is at your own risk. You are solely responsible for verifying the accuracy and suitability of any output or results.

Limitation of Liability

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Business Users: Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • Trial/Free Users: Our total liability shall not exceed £100

Excluded Damages

IN NO EVENT SHALL AUTOM8LABS BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of procurement of substitute goods or services
  • Business interruption or loss of goodwill

These limitations apply regardless of the legal theory on which the claim is based, even if we have been advised of the possibility of such damages.

Consumer Rights

Nothing in this Agreement shall exclude or limit any liability that cannot be excluded or limited under applicable law, including consumer protection laws in the United Kingdom. If you are a consumer, your statutory rights remain unaffected.

Termination

Termination by You

You may terminate this Agreement at any time by:

  • Ceasing all use of the software and services
  • Uninstalling and destroying all copies of the software
  • Cancelling any active subscriptions through your account or by contacting us

Termination by Us

We may terminate or suspend your licence immediately without notice if:

  • You breach any material term of this Agreement
  • You fail to pay applicable fees when due
  • You engage in unauthorised use, distribution, or reverse engineering
  • You use the software for illegal purposes
  • We are required to do so by law or regulation

Effects of Termination

Upon termination:

  • Your licence rights immediately cease
  • You must uninstall and destroy all copies of the software
  • You will lose access to online services and your account
  • Provisions that by their nature should survive (including intellectual property, limitation of liability, and governing law) shall remain in effect

Consumer Cancellation Rights

If you are a consumer in the United Kingdom or European Union, you have the following rights:

14-Day Cooling-Off Period

You have the right to cancel your purchase within 14 days of the date of purchase without giving any reason, provided that:

  • You have not downloaded, installed, or activated the software
  • You have not accessed or used any online services
  • You have not redeemed any licence keys or activation codes

Waiver of Cancellation Rights

By downloading, installing, or activating the software, or by accessing online services, you expressly consent to the immediate provision of digital content and acknowledge that you thereby lose your right of withdrawal.

How to Cancel

To exercise your cancellation rights, contact us at info@autom8labs.io with your order details and request for cancellation.

Updates and Modifications

Software Updates

We may provide updates, patches, or new versions of the software from time to time. These updates may be:

  • Automatic: Downloaded and installed without notice
  • Optional: Offered for manual download and installation
  • Required: Necessary for continued use of certain features or services

Updates are subject to this Agreement unless accompanied by a new agreement which will supersede this one upon acceptance.

Modifications to Agreement

We may modify this Agreement at any time. We will notify you of material changes by:

  • Posting the updated Agreement on our website
  • Notifying you through the software or by email
  • Requiring acceptance of new terms before continued use

Continued use of the software after modifications constitutes acceptance of the updated terms.

Third-Party Components

Our software may include third-party components, libraries, or services. These components are subject to their own licence terms, which are:

  • Included in the software documentation or installation files
  • Available upon request by contacting us

Your use of third-party components is subject to their respective licence agreements in addition to this Agreement.

Governing Law and Disputes

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

Jurisdiction

Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Dispute Resolution

Before initiating any legal proceedings, we encourage you to contact us to attempt to resolve any disputes amicably. Many issues can be resolved through direct communication.

General Provisions

Entire Agreement

This Agreement constitutes the entire agreement between you and Autom8Labs regarding the software and services and supersedes all prior agreements, representations, and understandings.

Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer this Agreement or your rights hereunder without our prior written consent. We may assign this Agreement without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages.
